Terms of Service

These Terms of Service ("Terms") govern your use of spiralyst.com (the "Site") and your purchase of Spiralyst Lab from David D. Karnowski, an independent developer (individual / sole proprietor) based in the United States ("we", "us"). By using the Site or buying the Software, you agree to these Terms. Your use of the Software itself is also governed by the EULA, and your purchase by our Refund Policy.

1. The Site

The Site is provided for information and to sell Spiralyst Lab. We may change, suspend, or discontinue any part of it at any time. We try to keep information accurate but do not warrant that it is error-free.

2. Eligibility

You must be able to form a binding contract to purchase. If you buy on behalf of an organization, you represent that you're authorized to do so.

3. Purchases and payment

  • The Software is sold as a one-year license at the price shown on the pricing page, in US dollars unless stated otherwise. Applicable taxes may apply.
  • Payment is processed by PayPal. By purchasing, you also agree to PayPal's terms. We don't store your full payment-card details.
  • After your payment is completed, we deliver a license key (serial number) by email to the address associated with your order, manually, usually within 8 hours. Delivery times are estimates, not guarantees.
  • It's your responsibility to provide a valid email address and to check your spam folder. If your key hasn't arrived within 8 hours, contact support@spiralyst.com.

4. Licensing

The Software is licensed, not sold, under the EULA. The license is single-user and valid for one year. Please read the EULA for what you may and may not do.

5. Refunds

Refunds are governed by our Refund Policy, which forms part of these Terms.

6. Acceptable use

You agree not to misuse the Site or Software, including by: attempting to gain unauthorized access; interfering with the Site's operation or security; scraping or overloading the Site; or sharing, reselling, or tampering with license keys.

7. Intellectual property

The Site and Software, including text, graphics, logos, and the "Spiralyst" and "Spiralyst Lab" names and marks, are owned by us or our licensors and are protected by law. You may not use our marks without permission. Content you create with the Software is yours.

8. Third-party services and links

We rely on third parties (such as PayPal and our hosting/email providers) and may link to third-party sites. We are not responsible for third-party services or content; your use of them is governed by their terms.

9. Disclaimers

THE SITE AND SOFTWARE ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, TO THE MAXIMUM EXTENT PERMITTED BY LAW. See the EULA for the full warranty disclaimer applicable to the Software.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR A PURCHASE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE CURRENT LICENSE TERM, AND WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. Nothing here limits liability that cannot be limited under applicable law, including certain consumer rights.

11. Indemnification

You agree to indemnify and hold us harmless from claims arising out of your misuse of the Site or Software or your violation of these Terms, to the extent permitted by law.

12. Governing law and disputes

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-laws rules. The state and federal courts located in California will have jurisdiction, except where applicable consumer-protection law gives you the right to bring proceedings elsewhere. To the maximum extent permitted by law, any claim relating to a purchase will be brought only in an individual capacity and not as part of a class, collective, or representative action; the dispute-resolution and class-action-waiver terms in the EULA also apply. This does not apply where prohibited by law (for example, to consumers in the EU or UK), and does not limit your right to bring an individual claim in small-claims court.

13. Changes to these Terms

We may update these Terms. The version in effect at the time of your purchase governs that purchase. We will post changes here with an updated date and note material changes in our release notes.
